SECTION 5 - PRODUCTS OR SERVICES (if applicable)

Certain products or services may be available exclusively online through the website. These products or services may have limited quantities.

We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any color will be accurate.

We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.

We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

Where we refer in any promotional, marketing or sales material or in any discussions or sales agreements to prices of video or voice calls then unless clearly stated these only apply to calls which have a maximum of 2 parties and where there may also be a maximum of 2 screen-shares during the call. For the purposes of clarity, any video or voice calls which include more than 2 parties or 2 screen-shares may cost a higher amount.

Where we refer in any promotional, marketing or sales material or in any discussions or sales agreements to a "rate for life", "price for life" or similar in relation to offering a capped rate on current and all future purchases of video or voice calls, this only applies to calls which have a maximum of 2 parties and where there may also be a maximum of 2 screen-shares during the call. For the purposes of clarity, any current or future video or voice calls which include more than 2 parties or 2 screen-shares will be priced differently and fall outside any offer of a rate for life or price for life.

Unless specifically stated, all support will only guarantee to offer support by email, and this will only be offered 8am to 6pm Monday to Friday and excluding UK bank holidays. Where we offer "priority 7 day support" or other priority-level or account-managed support packages, support requests will be prioritised over support requests from other clients who do not have priority-level or account-managed support packages, and unless specifically stated, such support packages will exclude support on UK bank holidays and hours outside 8am to 6pm Monday to Friday and hours outside 9am to 5pm Saturday to Sunday.

All video and voice call measurement will be done per minute, and any partial minutes during a call will be rounded up to the nearest whole minute when calculating the time and costs of calls, as well as reviewing overall account fair usage.

Where we charge a monthly fee, other non-metered fees or subscriptions, impose a time limit on the video and voice-only calls that can be made or received in a given period, or provide accounts with no video and voice-only call charges, these offers are subject to a fair usage limit. The fair usage limit is measured as the total number of video and voice-only minutes used by any given user and is set at a maximum of 1,000 minutes per month. Clients who wish to exceed this per-user limit should enquire about our high volume accounts.

Where we offer a Whitelabelling, Branding or Co-Branding service to the client, none of these options will guarantee that the service or related websites and emails will be 100% branded as the client, and some Clickacall branding may still be visible.

Where we offer a service to record or archive video or voice calls, these recordings and all backups may be deleted from our systems after 30 days. It is the client's responsibility to ensure any recordings required for longer or required after their client account is terminated are downloaded to their own computers before the recordings are removed or the account is terminated. Clients can enquire about longer recording storage accounts. If the client chooses to record or archive calls between their users, callers or any other parties, it is the client's responsibility to notify all parties that the calls are being recorded if this notification is required by law in the jurisdictions of the call parties.

Unless clearly stated prior to each call, all video calls made through the Clickacall video service are 720p definition and all video call recordings made through the Clickacall video service are 720p or SD definition. Clients may enquire about higher definition options if required.

Unless clearly stated prior to each call, the Clickacall video service provides for two person calls only, also known as "1:1" calls, and calls with more than two parties are not included in the service.

Screenshare is included as part of the standard Clickacall video calling service.

Group video or voice-only calls of more than two parties, video quality higher than 720p definition, recording storage longer than 30 days and whiteboard are all examples of services not included in the standard Clickacall service, and any other video or voice-only features not specifically highlighted in these Terms are also not included.

Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

SECTION 14 - AGENCY, AFFILIATE, GOLD PARTNER, PURPLE PARTNER AND REFERRER PROGRAMMES
If you optionally signup as an Agency, Affiliate, Gold Partner, Purple Partner or Referrer (all known herein as Partners) then you agree to these Terms of Service in their entirety as well as these additional terms in this Section 14 and all terms as shown on or linked to from our affiliate tracking web pages. Our Partner programmes are not open to all businesses and individuals and if you wish to signup then you must apply and be accepted on to the programmes by us.

Unless agreed beforehand in an addendum between Clickacall and the Partner the percentage level of commission offered to the Partner for each available product or service will be as shown on our affiliate tracking signup page at the time of the Partner signup. Commissions offered are based on the customer paying the full advertised price for any product or service. If the customers pays less than the advertised price for any product or service then the amount of commission offered to the Partner will be at the discretion of Clickacall unless agreed beforehand in an addendum between Clickacall and the Partner. Commission will only be offered on services and products purchased by new and existing customers that first visited the www.clickacall.live website via the Partner's unique tracking link and less than 365 days before the purchase. The Partner will not be entitled to any commission if the customer's first visit to www.clickacall.live is not via the Partners unique tracking link. Unless agreed beforehand in an addendum between Clickacall and the Partner, the Partner will not be entitled to any commission on additional purchases of our services or products or on subsequent renewal fees or topups of prepay credits by the customer after the first 365 days (extended to an indefinite period for Gold Partners and Purple Partners, subject to the clause terms in the next paragraph).

Where we provide opportunities to Partners to work closely with us in order to resell to, introduce or refer clients, we do so on the understanding that the Partner will make a good level of ongoing commitment and investment in order to uncover and close sufficient opportunities, and that they will endeavour to create as much new and ongoing business as possible to the benefit of both parties. We reserve the right to cancel any Partner account or similar account for any reason at any time, but will continue to pay earned commissions for up to 12 months after the date we give notice of such cancellation to the Partner. For the purposes of clarity, this clause in this paragraph extends to all Partners including Agencies, Affiliates, Gold Partners, Purple Partners or Referrers.

Partners are only entitled to commission on Clickacall products and services purchased by a party that is un-related to the Partner. The Partner is not entitled to commission on Clickacall products and services purchased by any party where the Partner or their staff, colleagues, fellow company officers, contractors or other representatives have an interest. A Clickacall customer may not signup as a Clickacall Partner as a means of obtaining an effective discount on Clickacall products and services for themselves or parties to whom they are already connected.

Any earnings shown on our Partner tracking pages are estimated and final figures will be confirmed by Clickacall prior to payout. We will add VAT to commission payouts if you are registered for UK VAT and you provide us with a UK VAT invoice. The payout of commission to Partners will be subject to a waiting period of at least 60 calendar days after each purchase is paid and received as cleared funds into Clickacall's UK bank account. This requirement is to ensure that purchases made via the Partner will not be subject to chargebacks by our payment processing partners or any 3rd party banks or other financial institutions. If a commission has already been paid to the Partner and a subsequent chargeback is made, Clickacall will be entitled to request full and immediate repayment of the commission from the Partner and if this is not forthcoming within 7 days will use all legal means available to reclaim the commissions and all associated costs incured in recovering such commissions.

Unless agreed beforehand in an addendum between Clickacall and the Partner, no payouts will be made to the Partner until the level of commission owed is a minimum of £100. Unless agreed beforehand in an addendum between Clickacall and the Partner a payout of commissions owed will be done a maximum of once per calendar month and will be transfered to the Partner using Paypal.

SECTION 15 - INDEMNIFICATION

You agree to indemnify, defend and hold harmless Clickacall and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

If you are not in the United Kingdom (or the European Union before such time as the UK leaves the EU) you are fully responsible for all taxes and duty applicable when the goods enter your country and you agree that Clickacall will not be responsible for payment of these.

SECTION 16 - SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 17 - TERMINATION

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

SECTION 18 - ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any terms, policies or operating rules referenced by them or posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.
